SYLLABUS


CONTRACTS; CONSTRUCTION AND INTERPRETATION; INTENTION OF PARTIES. — In the case at bar, the mere mention of Lot No. 1357 in the contract to sell, the final deed of sale and the certificate of title in favor of the petitioner is not conclusive that the property sold to him is the lot located at barrio Bagbag, for the parties meant Lot 1155 at the poblacion. Article 1370 of the Civil Code provides that if the words in a contract appear to be contrary to the evident intention of the parties, the latter shall prevail over the former.

This is a petition to review a decision of the Court of Appeals.

On August 12, 1952, Francisco Legaspi and the heirs of his deceased wife, Ana Medina, filed suit against Luis Atienza Bijis, alleging that they are the owners proindiviso of the parcel of land situated in Poblacion, Rosario, Cavite, "particularly known as Lot No. 1155 of the San Francisco de Malabon Estate," covered by Transfer Certificate of Title No. 95995 of the land records of Cavite, and the improvements thereon consisting of (a) a house of two stories, strong lumber materials, g.i. roofings, side walls of adobe stones and cement floorings and (b) a storehouse of strong materials, g.i. roofings, adobe walls, and cement floorings, acquired and possessed by them since August 22, 1932; that on May 1947, or thereabouts, the defendant, thru misrepresentation, fraud and wrongful manipulations, by him and under his orders and instructions, against and over the protest of the plaintiffs, caused the said storehouse to be removed and subsequently sold it for value for his benefit and to the prejudice of the plaintiffs. The complaint prayed for the declaration of the act of demolition and removal of the storehouse as a quasi- delict under the Civil Code and for the defendant to be required to pay to plaintiffs the amount of P4,9000.00 as damages.

In his answer, the herein petitioner asserted ownership of the lot referred to in the complaint together with all the improvements thereon, alleging that he had acquired it by purchase from the Agricultural and Industrial Bank (assets of which were absorbed by the Rehabilitation Finance Corporation) which bank had, in turn, acquired the same from the San Lazaro Estate Fund.

After due hearing, the Court of First Instance rendered a decision declaring petitioner the owner of Lot 1155 described in the complaint. On appeal to the Court of Appeals, that court reversed the decision and declared the herein respondents the owners of the said lot.

The said Luis Atienza Bijis now petitions us to review the decision of the Court of Appeals. It appears that the late Pedro Medina had originally been the registered owner of the lots involved in this case one of which (Lot 1155) is located in the poblacion of Rosario, Cavite, and the other (Lot 1357) at barrio Bagbag of the same municipality.

In resolving the question as to the ownership of the two lots, the Court of First Instance made the following findings:jgc:chanrobles.com.ph

"De las pruebas presentados por las partes, el Juzgado encuentra probados los siguientes hechos: Pedro Medina es hermano de la finada Ana Medina, esposa del demandante Francisco Legaspu y madre y abuela de los otros demandantes. Dicho Pedro Medina era originariamente el dueño inscrito de las dos parcelas de terreno señaladas como Lotes Nos. 1155 y 1357 de la ‘San Francisco de Malabon Estate Subdivision’. En o hacia el 3 de Marzo de 1920, el referido Pedro Medina solicito de la San Lazaro Estate Fund, entonces bajo el control, manejo y administracion del Buro de Terrenos, un prestamo por la suma de P6,400.00. En la escritura de hipoteca que el citado Pedro Medina ejecuto a favor de la San Lazaro Estate Fund (Exhibito "5"), aparece que el terreno hipotecado es el señalado como Lote No. 1357, pero al mismo tiempo consta en dicha escritura, que el expresado terreno esta situado en la poblacion del Municipio de Rosario, Cavite, y que la extension, superficial del mismo es 627 metros cuadrados. En el report de tasacion ("appraisal report") del tasador P. F. Eleazar (Exhibito "7"), aparece en su respaldo (Exhibito "6") que las mejoras de dicho terreno consisten en una casa de materiales fuertes y un camarin, con sus respectivos croquices. Aparece tambien probado que el deudor hipotecario Pedro Medina, prometio asegurar y de hecho aseguro dichos edificios, segun los Exhibitos "11" y "13."

"Tambien se ha probado que no habiendo podido Pedro Medina pagar al tiempo de su vencimiento la suma de P6,400.00, la acreedora hipotecaria ejecuto la hipoteca por medio de presentacion de la demanda en la causa civil No. 1729 de este mismo Juzgado, y cumplidos los tramites legales, la entidad ejecutante llego a ser la dueña de la propiedad ejecutada y la declaro despues a su nombre a los efectos del pago de la contribucion territorial bajo al Tax No. 6557 (Exhibitos "12" y "19").

"Los fondos y caudales de la "San Lazaro Estate Fund", que abarcan la propiedad embargada de Pedro Medina, pasaron bajo el control, manejo y administracion de la "Agricultural & Industrial Bank." Esta entidad otorgo a favor del demandado la escritura de promesa de venta, de fecha 24 de Septiembre de 1943 (Exhibito "8"). Despues de la liberacion, los fondos y caudales de la "Agricultural & Industrial Bank" ha sido adquiridos por la "Rehabilitation Finance Corporation", y esta entidad otorgo a favor del demandado la escritura de venta absoluta de fecha 5 de Mayo de 1949 (Exhibito "9"). En la indicada escritura aparece que la propiedad traspasada en venta absoluta era el terreno señalado como Lote No. 1357, la misma que aparece en la escritura de hipoteca Exhibito "5." ) El demandado tambien ha declarado a su nombre a los efectos del pago de la contribucion territorial el terreno situado en la poblacion con sus mejoras, efectiva desde 1945 (Exhibito "15"). "Se ha establecido, ademas, suficientemente el hecho de que desde el otorgamiento de la escritura de promesa de venta, Exhibito "8", el demandado tomo posesion como dueño del terreno situado la poblacion del Municipio del Rosario, Cavite, y como tal dueño bobraba del Buro de Terrenos los alquileres correspondientes (Exhibitos "16" al "16-*N"). Mas tarde, o sea, el 10 de Febrero de 1946, de demandado arrendo los altos del edificio a favor de la "Rosario Institute" (Exhibito ("17"), y todos estos hechos y actos de las entidades corporatives arriba mencionadas y del demandado eran publicos y con conocimiento de los demandantes, sin que estos hayan hecho algun paso para impedirlos.

"Como consecuencia de la venta otorgada por la "Rehabilitation Finance Corporation" a favor del demandado, esta registro dicha venta y se la expidio el Certificado de Transferencia de Titulo No. T-3050, del Lote No. 1357, que aparece en la escritura de venta (Exhibito "14").

"Habiendo tratado el demandado de vender la propiedad tantas veces mencionada, dicho demandado se constituyo en la oficina de la "Friar Lands Agency" del Buro de Terrenos, en los mismos bajos de la casa levantada en el terreno situado en la poblacion del Municipio de Rosario, Cavite (Exhibito "2"), y alli discubrio que el terreno situado en la poblacion no es el Lote No. 1357, sino otro que es el Lote No. 1155, y que el Lote No. 1357, registrado a nombre de dicho demandado, segun al Certificado de Transferencia de Titulo No. 3050, esta situado en el barrio de Bagbag, del mismo municipio de Rosario y su entension superficial es 710 metros cuadradaos. El damandado descubrio por primero vez este error, y con el objeto de rectificario se fue a ver al demandante Francisco Legaspi, que entoces vivia con una de sus hijas en el mismo Lote No. 1357, en el barrio de Bagbag, y explico a dicho demandante que habia un error en la designacion del numero de los lotes correspondientes y despues de tales explicaciones, convinieron en ejecutar las correspondientes escrituras de traspaso a favor del verdadero dueño de cada lote. El demandado y los demandantes se constituyeron en la oficina del Abogado De Guia con sus respectivos certificados de residencia que son los Exhibitos "4" al "4-G." Pero no pudieron llevar a cabo dichos taspasos debido a una mala inteligencia entre Catalino Diaz, agente que intervenia en la transaccion, y Marcelo Pulido, esposo de una de las demandantes.

"Se ha probado, igualmente, que en 22 de Agosto de 1932, Pedro Medina taspaso a los esposos Francisco Legaspi y Ana Medina el terreno situado en Bagbag y a consequencia de dicho taspaso los referidos esposos tomaron posesion del indicado terreno y obtuvieron a su nombre el Certificado de Transferencia de Titulo No. 9595 (Exhibito "B"), y Ana Medina lo declaro a su nombre para los efectos de la contribucion territorial (Exhibitos "1" al "1-A").

"No hay cuestion en cuanto al hecho de que el terreno conocido como Lote No. 1155 es el que esta situado en la poblacion de Municipio de Rosario, Cavite, y en el cual estan levantadas las mejoras consistentes en una casa de materiales fuertes y un camarin, y su valor tasado en o hacia al año de 1920 es el de P10,830.00, mientras que el terreno señalado como lote No. 1357, que esta situado en el barrio de Bagbag del mismo municipio de Rosario, Cavite, sin mejora alguna, con extension superficial de 710 metros cuadrados y su valor, en o hacia el mismo año de 1920, no es mas que P300.00.

"En vista de estos hechos, que se declaran probados, el Juzgado es de parecer que el terrenos que Pedro Medina hipoteco a la "San Lazaro Estate Fund" es el terreno situado en la poblacion de Rosario, Cavite, y designado como Lote No. 1155, pues la situacion topografica de este lote, asi como su extension superficial, sus mejoras y su valor en la epoca de la presentacion de su solicitud unida a la escritura de hipoteca y en la misma escritura Exhibito "5", coinciden con las que aparecen en la solicitud y escritura mencionadas. Aparte de que, si el terreno situado en la poblacion, con sus mejoras, ya existente en 1920, no es el que Pedro Medina intento hipotecar y que de hecho lo hipoteco no se explica como pudo ser asegurado sus edificios en la suma de P6,000.00, cuando en dicho año, el terreno situado en el barrio de Bagbag, o sea, el Lote No. 1357, no tenia mejoras y su valor no era mas que P300.00.

"Es mas, cuandro Pedro Medina, en 22 de Agosto de 1932, traspaso el terreno, que entonces aun le quedaba, a favor de los esposos Francisco Legaspi y Ana Medina, su cuñado y hermana, respectivamente, es indubable que el tenia el proposito de traspasar su terreno en Bagbag, o sea, el Lote No. 1357, porque habiendo ya ejecutado por la "San Lazaro Estate Fund" su hipoteca, y estando ya entonces traspasado el terreno situado en la poblacion a favor y a nombre de la entidad ejecutante, dicho Pedro Medina sabia perfectamente que el ya no tenia derecho de traspasarlo a nadie. De la misma manera, los esposos Francisco Legaspi y Ana Medina, como adquirantes, sabian que el terreno que entonces ellos adquirieron era el terreno situado en Bagbag, tan es asi que allos tomaron posesion del mencionado terreno y nunca poseyeron ni han intentado poseer, el terreno situado en la poblacion, que en aquel tiempo ya habia sido embargado por la acreedora hipotecaria de su causante Pedro Medina.

"Estos actos de Pedro Medina y los subseguientes pasos tomados por la acreedora hipotecaria, la "San Lazaro Estate Fund" y sus sucesoras, con respecto al terreno situado en la poblacion, Lote No. 1155, asi como los actos de Pedro Medina y los esposos Francisco Legaspi y Ana Medina con respecto a la posesion del terreno en el barrio de Bagbag, Lote No. 1357, unidos a la circunstancia de que en los dos titulos originalmente a nombre de Pedro Medina y en los de transferencia a nombre de las partes en la presente causa no aparecen mas que los numeros de los lotes, sin su descripcion y linderos, ni extension superficial, demuestran sin ningun genero de duda, que Pedro Median, al entregar el Certificado de Transferencia de titulo correspondiente al Lote No. 1357 a la San Lazaro Estate Fund, en vez del certificado de transferencia de titulo correspondiente al Lote No. 1155, que es realmente el que hipotecaba, cometio un error. La acreedora hipotecaria, "San Lazaro Estate Fund", al aceptar Certificado de transferencia de titulo del Lote No. 1357, en vez del que corresponde al Lote No. 1155, o sea, del terreno situado en la poblacion, tambien obro en la erronea creencia de que dicho titulo entregado a ella es el titulo correspondiente al terreno situado en la poblacion. Como consequencia de este error, Pedro Medina tambien cometio otro error al traspasar a favor de los esposos Legaspi y Medina al titulo del terreno en la poblacion que entonces ya no era suyo, en vez de traspasar el que corresponde al terreno en Bagbag que es el que entonces le pertenecia aun.

"Resulta suficientemente claro que el registro a favor de Francisco Legaspi y Ana Medina del terreno señalado como Lote No. 1155, asi como el registro del terreno conocido como Lote No. 1357 a favor del demandado Luis Atienza Bijis estan basados en actos erroneos de parte del dueño original, Pedro Medina, que son contrarios a la verdadera intencion de las partes contratantes. Y, si el demandado es el dueño del terreno conocido como Lote No. 1155 en el cual estaba construido el camarin que se alega haber sido destrozado, el Juzgado es de opinion que los demandantes no pueden reclamar del demandado los daños y perjuicios que se alegan en la demanda."cralaw virtua1aw library

The Court of Appeals, on the other hand, in finding for the respondents, simply stated:red:chanrobles.com.ph

"Sobre este punto no hay en autos la menor prueba que establezca que el Lote No. 1155 fuera el terreno comprado por el demandado-apelado. Los exhibitos 8, 9 y 14 de la parte demandada pruebanplenamente que el terreno vendido al demandado-apelado es el Lote No. 1357, puesto que en dichos exhibitos en que el repetido demandado-apelado funda su pretension, dan a entender de un modo inequivoco que el Lote No. 1357 no es el mismo terreno conocido como Lote No. 1155. Y considerando que en autos no existe prueba documental alguna que indique que el demandado-apelado haya tratado de comprar de la Rehabilitation Finance Corporation el Lote No. 1155, declaramos que el aquie demandado-apelado no tiene derecho a reclamar como suyo el Lote No. 1155 en cuestion."cralaw virtua1aw library

It appears that the Court of Appeals made no findings or mention of the facts obtaining in the record, supported by documentary evidence, and found out by the trial court, which clearly indicate that there has been an erroneous exchange in the numbers of the two lots in the different deeds that had been executed. These facts are, namely: although the lot mortgaged by Pedro Medina to the San Lazaro Estate Fund for the amount of P6,400.00 was designated as Lot No. 1357, the report of appraisal in connection with the mortgage describes the lot as consisting of 627 square meters in area and located in the poblacion, Rosario, Cavite, with improvements consisting of a 2-story house of strong materials and a camarin, which features distinguish Lot No. 1155 from Lot 1357 located in the barrio of Bagbag municipality of Rosario, Cavite; the petitioner, with the knowledge of the respondents and without objection on their part, took possession of the said Lot No. 1155 and in the concept of owner collected rentals from the Bureau of Lands office and the Rosario Institute, then occupants of the buildings; Lot No. 1155 with its improvements had at the time of the mortgage to the San Lazaro Estate an appraised value of P10,830.00, while Lot No. 1357 was assessed at P280.00 only, with an improvement consisting of a nipa house valued at P200.00; and when the parties discovered that there has been a mistake in the designation of the numbers of the lots, they attempted to rectify that error by executing instruments of sale in favor of each other over the two lots under dispute. Exhibit 18, Annex "N" of Petitioner’s Belief is a "Deed of Absolute Sale" signed by Luis Atienza Bijis conveying to Francisco Legaspi and the other respondents Lot 1357, while Exhibit 3, Annex "O" of the same Brief is entitled "Extrajudicial partition with Sale" signed by the Legaspis deeding to the herein petitioner Lot 1155. Although the documents mentioned, which were supposed to have been drawn on the same day, are in the form of sale, the obvious intention of the parties was to exchange the two lots with each other. This can be gleaned from the fact that the price mentioned in each of the documents is the same — P2,000.00 — notwithstanding the disparity between the properties in their respective values owing to the difference in their location and improvements.

To our minds, the foregoing facts over which the appellate court failed to make any findings amply support the contention that the petitioner is the owner of Lot 1155 and the respondents are the owners of Lot 1357 as found out and correctly adjudged by the trial court.

The mere mention of Lot No. 1357 in the contract to sell, the final deed of sale and the certificate of title in favor of the herein petitioner is not conclusive that the property sold to him is the lot located at barrio Bagbag. For as has been elucidated, the parties meant Lot 1155 at the poblacion. Article 1370 of the Civil Code provides that if the words in a contract appear to be contrary to the evident intention of the parties, the latter shall prevail over the former.

In view of the foregoing, the decision appealed from is hereby reversed, and another one is entered affirming that on the Court of First Instance. With costs against the respondents.
