G.R. No. 196611 (Union Bank of the Philippines v. L & L Lawrence Footwear, Inc., Han Mi Footwear Specialists, Inc., and Sae Chae Lee).
RESOLUTION
The Court resolves, after review of the records, to DENY the petition for failure to show that the Court of Appeals (CA) committed a reversible error in affirming the RTC ruling which declared that there was no consent on the part of Lawrence Corporation to enter into the contracts in question. Union Bank failed to produce sufficient evidence to prove that Lawrence or its president authorized Abeleda to enter said contracts on its behalf, or that they ratified the contracts, whether expressly or impliedly. It likewise did not make the necessary inquiries as to the extent of Abeleda's powers. Thus, Union Bank's complaint for specific performance must necessarily be dismissed.
